Terms & Conditions for using the KptnCook App services of KptnCook GmbH

1. Scope

(1.1) KptnCook GmbH, Mariendorfer Weg 64, 12051 Berlin, registered in the Commercial Register of the Local Court of Charlottenburg under HRB 155002 B (hereinafter “KptnCook GmbH”), provides digital services relating to recipes and cooking. These include in particular the KptnCook App for iOS and Android as well as KptnCook web services, in particular for registration and for purchasing and managing subscriptions.The use of these services is subject to these Terms & Conditions.

(1.2) These Terms & Conditions apply to the use of KptnCook services, regardless of whether they are used without registration, with a free account or as part of a paid subscription requiring registration.They also apply to paid subscriptions purchased via the KptnCook website, the Apple App Store or the Google Play Store. For subscriptions purchased via Apple or Google, the terms and conditions of the respective App Store provider additionally apply.

(1.3) All information that you provide when creating an account must be current and true. You may not pass on your password to any third party. You must make it inaccessible to unauthorized persons and communicate to us immediately in the form of text if it is lost or passed on. Further, you shall not pass on your password for iTunes to third parties, as you will be liable according to the legal regulations in case of misuse, e.g. for any unauthorized in-app purchases by third parties with your password and the claims resulting thereof.

(1.4) KptnCook GmbH reserves the right to amend these Terms of Use with effect for the future according to the following method: KptnCook GmbH will notify you in advance regarding the intended changes by email or other appropriate means of contractual amendment such as online procedure (e.g. through displays with the requirement of consent within the app) in particular, and inform you of your right to object within a period of one month. The changes shall then count as accepted if you do not object within one month of being notified.

2. Services, object and rights, advertising, conduct

(2.1) Basic services of KptnCook GmbH KptnCook GmbH provides you recipes, grocery lists and illustrated cooking instructions via the KptnCook App. Furthermore, KptnCook GmbH provides a separate personal area, where applicable, in which you can organize your collected recipes, share grocery lists with friends and plan your cooking activities with a weekly schedule. The extent of recipes provided and the options for use depends on the type of account that you have chosen. An account-free usage (see 2.3), a free account (see 2.3), a trial subscription (see 4.2) and paid subscription (see 4.1) are available.

(2.2) Services of KptnCook GmbH Freemium (account-free usage)The KptnCook App will be installed free of charge. The KptnCook App offers you recipes that you can choose and cook.After installation of the app, free storage space for 25 recipes will be available in the favorites list that can be used to save the recipes from the KptnCook App.

(2.3) Additional services of KptnCook GmbH after registration of a free accountAfter your registration, which is also free (free account), you can save as many KptnCook recipes in the KptnCook App as you want—this is only limited by the absolute number of recipes available on the KptnCook app.You can also use other free functions of the KptnCook App, e.g. create your own folder for recipe collections or share your grocery list with friends. The creation of a free account does not oblige you to order a paid subscription.

(2.4) Additional services provided by KptnCook GmbH after registration of a paid account: In order to use the full range of KptnCook services, a KptnCook account is required. Depending on the respective offer, registration may take place via the KptnCook App or via KptnCook web services.Persons aged 16 or older are eligible to register. If you are under the age of 16, the consent of your parents is required pursuant to Art. 8 (1) sentence 2 GDPR. We are entitled to make the use of KptnCook GmbH services dependent on suitable proof of your identity, your age or the consent of your legal representative; in particular, KptnCook GmbH may request appropriate evidence at any time and may temporarily or permanently exclude you from using the services.For paid subscriptions entered into by minors, the statutory provisions governing legal capacity additionally apply; where required, the consent of the legal representative must be obtained.

(2.5) Registration takes place by entering the information requested during the respective registration process and selecting one of the available sign-in methods. KptnCook GmbH decides about your application for a paid account at its discretion and sends to you a confirmation of registration by email upon acceptance. The confirmation contains a link with which you must confirm your email address. As an optional service, KptnCook GmbH may also give an option to integrate and enable registration via Facebook Connect, Google or Apple. In this case, KptnCook GmbH is free to send the acceptance even via the electronic communication means available on these platforms. Creating a KptnCook account alone does not result in the conclusion of a paid subscription.

(2.6) As soon as unlimited storage space is made available to you after registration, you can use this storage space for all recipes from the KptnCook App. Recipes can be added to the favorites list and can again be deleted. In the latter case, you no longer have access to recipes that you have removed from the favorites list.

(2.7) KptnCook App is not an online shop. It dynamically links online shops of third parties and, if necessary, to the relevant third party offers of the particular recipe. All the information shown on the KptnCook App simply serves as non-binding suggestions for the purchase process in the relevant supermarkets and are not offers in the legal sense. Purchase contracts for the products shown cannot be concluded via the KptnCook App; if this is the case with the linked third-party website, KptnCook GmbH has no influence on it.

(2.8) KptnCook GmbH provides you with information and data via the KptnCook App that it has collected on its own or that third parties from the food trade have provided, to offer further information for grocery shopping. This data includes, e.g., product prices or packaging sizes. This data may be outdated or vary according to the location and region of the respective supermarket.

(2.9) KptnCook GmbH assumes no liability or guarantee that the products shown on the websites and third-party apps (especially supermarkets) linked with KptnCook App are available with the third parties and/or can be purchased on the terms specified by the third parties on the linked websites and apps. We agree and you acknowledge that KptnCook GmbH cannot co-determine the particular offers of the third party, especially of the supermarkets. The respective third party, who is the supplier of the product, has the sole responsibility for assortment and pricing. In case of a purchase intention, you are committed to check all the material information and its current validity for the conclusion of the contract and its relevance based on the information of the supermarket and to get in touch with the corresponding (purchase) offer with the respective third party (usually a seller, in particular the supermarket concerned) and if necessary, to conclude appropriate contracts. Moreover, KptnCook GmbH assumes no liability or guarantee for the correctness of the information and data reported on the websites and third-party apps linked with KptnCook App.

(2.10) The rights to the KptnCook App and the content shown in the app, in particular the recipes of KptnCook GmbH are and shall remain with KptnCook GmbH; if it concerns third-party rights (offers of the third party linked with the KptnCook App), then they remain with the respective third party. You will only get that right which is necessary for using the KptnCook App (in particular app access, cooking); this right has worldwide validity, is not assignable and cannot be sublicensed.All property rights of KptnCook GmbH, especially our trade names (firms), logos, domain names and other special features of KptnCook GmbH remain the sole copyright of KptnCook GmbH. You are not granted any right to use the trademarks of KptnCook, our trade name, logos, domain names or other characteristics of the KptnCook-brand, whether for commercial or non-commercial purposes.

(2.11) KptnCook GmbH is allowed to display advertisements for you on KptnCook’s platforms.

(2.12) KptnCook GmbH may, at its own discretion, grant the opportunity to publish own comments and contributions to the KptnCook website. Any intentional or conscious use, which may likely cause harm to the interests of KptnCook GmbH or its public reputation, adversely affect the security of the IT system or contradicts applicable laws, is inadmissible. This applies in particular to:- Placing or dissemination of contents in violation of personal rights, copyrights or criminal (law) provisions;- Placing or dissemination of statements or images that are offensive, slanderous, anti-constitutional, racist, sexist, violent or pornographic and/or- Placing, linking or other introduction of malware (especially, virus programs).

(2.13) AI Chat AssistantKptnCook GmbH may provide an AI-powered assistant (chatbot) within the KptnCook App that answers questions about recipes, ingredients, preparation steps and cooking tips. This service is based on third-party technology (e.g. Google Vertex AI / Gemini), and responses are generated automatically based on user input and general cooking information.The AI Assistant is provided for informational purposes only and may occasionally provide incomplete or incorrect responses. The information provided does not constitute medical, nutritional or other professional advice. Users should carefully review the information, act on their own responsibility and consult qualified professionals where appropriate.The provisions of Section 5 apply to liability in connection with the use of the AI Assistant.

3. Accessibility Information

KptnCook GmbH is working to make KptnCook's digital services accessible and usable in accordance with the German Accessibility Strengthening Act (Barrierefreiheitsstärkungsgesetz, BFSG) and the applicable requirements of the Ordinance to the German Accessibility Strengthening Act (BFSGV). This information describes the current accessibility status of the KptnCook app for iOS, the KptnCook app for Android, and the KptnCook website and web-based services. This information was prepared on the basis of an internal self-assessment.
(3.1) Description of the Service KptnCook is a digital service for recipes and cooking inspiration. Users can discover, save, and use recipes for cooking. KptnCook also offers paid subscriptions with additional features and content. Depending on the platform, subscriptions are purchased and managed via the Apple App Store, the Google Play Store, or KptnCook's web-based services.
(3.2) Accessibility Status KptnCook's digital services are partially compliant with the requirements of the BFSG and the BFSGV. We continuously improve our apps and web-based services, particularly with regard to screen reader support, font scaling, colour contrast, usability, and clear labelling of controls.
(3.3) KptnCook App for iOS The KptnCook app for iOS has been tested and improved with regard to its use with VoiceOver and support for larger text sizes. The app's essential functions are accessible and operable with VoiceOver. These include navigation within the app, as well as the core functions for discovering, viewing, saving, and using recipes, and for purchasing and managing a subscription. The app supports dynamic text resizing in its essential areas. Even at large text sizes, the core content and functions generally remain accessible and operable. The app also respects the iOS "Reduce Motion" setting. Colour contrast, control labels, and tappable areas have been reviewed and improved in many parts of the app.
Known Limitations in the iOS App In some views, very large text sizes may still cause display issues, such as truncated text or elements that are not optimally arranged. Some text displayed over image backgrounds, as well as certain selection elements and controls, may not yet achieve the intended colour contrast in every situation. For some non-essential content or controls, VoiceOver use may still be limited, for example due to incomplete labels or a reading order that is not yet optimal. Based on our current assessment, these limitations do not affect the app's essential functions. We continuously review and improve accessibility as part of future app updates.
(3.4) KptnCook App for Android The KptnCook app for Android uses the accessibility features provided by the Android operating system. These include support for TalkBack, semantic labels for controls, and the adjustment of text to the selected font size. The app's essential functions have been tested with TalkBack and with larger font and display settings and are generally accessible and operable. These include navigation within the app, the use of recipes, and the purchase and management of a subscription. Colour contrast, tappable areas, and control labels are reviewed and continuously improved as part of development and quality assurance.
Known Limitations in the Android App In some views, very large font or display settings may still cause display issues. For some non-essential content or controls, TalkBack descriptions, navigation order, or colour contrast may not yet be optimal. Based on our current assessment, these limitations do not affect the app's essential functions. We continuously improve accessibility as part of future app updates.
(3.5) KptnCook Website and Web-Based Services The KptnCook website and web-based services are currently being reviewed and improved with regard to accessibility. This includes, in particular, semantic page structure, keyboard accessibility, screen reader compatibility, colour contrast, form labels, and display at larger text sizes or zoom levels.
Known Limitations on the Website and Web-Based Services Some areas of the website and web-based services are still under review. Limitations may occur, in particular, with keyboard navigation, certain forms, screen reader output, and display at larger text sizes or high zoom levels. We are continuously working to address these limitations. We are giving particular priority to areas related to registration, sign-in, subscription purchase, subscription management, legal information, and contacting us.

Information about the device, operating system, browser, app version, and affected area is also helpful. If you use an assistive technology such as VoiceOver, TalkBack, larger text sizes, screen magnification, or keyboard navigation, this information will also help us investigate the issue.

4. Paid subscriptions and free trial subscriptions

(4.1) Conclusion of a Paid Subscription
‍KptnCook offers paid subscriptions (“Subscription Access”) with different scopes of services and subscription periods. The available subscription plans, their respective term, price, billing interval and scope of services will be displayed to you before you purchase the subscription. Access to the respective services remains available for as long as the subscription is active.

Purchase via Apple or Google:
‍You can purchase a paid subscription as an in-app purchase through our iOS or Android Apps. The terms and conditions and requirements displayed by Google or Apple, in particular those relating to the individual purchase steps, additionally apply.
‍
Purchase via the KptnCook website:
‍Paid subscriptions may also be purchased via KptnCook web services. If you purchase a subscription via a KptnCook web service, by clicking the appropriately labelled order button, for example “Subscribe with obligation to pay”, you submit a binding offer to enter into the selected subscription. The contract is concluded upon successful completion of the order process and activation of the respective Subscription Access.

(4.2) Trial Subscriptions / Trial Periods / Conversion into Paid SubscriptionsFrom time to time, KptnCook GmbH invites primarily new users to use Subscription Access free of charge for a certain period for trial purposes (a “Trial Subscription”; invitatio ad offerendum). By declaring your participation, you submit an offer for the respective Trial Subscription. KptnCook GmbH decides at its own discretion whether, when and under what conditions a Trial Subscription is offered to you. Where there is good cause, KptnCook GmbH may discontinue or modify such a free Trial Subscription at any time without prior notice. The following provisions apply in particular to Trial Subscriptions:

(4.2.1) Some Trial Subscriptions are only available if you provide payment details through the respective App Store or as part of the web checkout when registering for the Trial Subscription. In such cases, at the beginning of the Trial Subscription KptnCook GmbH requires your consent for your free access to convert into a paid Subscription Access (Section 4.1) on the day following the end of the Trial Subscription. The price, billing interval and subscription term applicable after the Trial Subscription will be displayed to you before you enter into the Trial Subscription. Section 9 applies to the subsequent term and termination.
(4.2.2) If you do not wish to continue with the Subscription Access and the associated charges after the Trial Subscription ends, you must cancel the Subscription Access provided to you as part of the Trial Subscription before the Trial Subscription ends. For subscriptions purchased via Apple or Google, you can cancel through the settings of the respective App Store. For subscriptions purchased via the KptnCook website, you can use the cancellation options provided by KptnCook.
(4.2.3) For subscriptions purchased as an in-app purchase via the Apple App Store or Google Play Store, refunds are processed by the respective App Store provider in accordance with its applicable procedures and terms. Mandatory statutory rights remain unaffected.

(4.3) Promotional Offers, Discounts and VouchersKptnCook may from time to time offer special offers, promotional prices, vouchers or other discounts.Discounts may apply only to the initial subscription term, to a specified number of billing periods or for the entire duration of the subscription. The specific amount and duration of the discount and any price applicable thereafter will be displayed to you before you purchase the respective offer. Individual promotions may be subject to additional offer terms, for example regarding eligibility, redemption of a voucher code or combination with other offers. Any such conditions will be indicated in the respective offer.

5. Liability/Warranty and disclaimer of warranty

(5.1) From the license agreement with the KptnCook App, KptnCook GmbH is only liable for malicious intent and gross negligence, cases of injury to life, body or health as well as in the case of mandatory statutory regulations for itself and all legal representatives, executive employees and vicarious agents.

(5.2) The liability of KptnCook GmbH is excluded in all other cases.

(5.3) The duty to compensate is limited to the foreseeable damage in case of violation of cardinal duties or material contractual obligations.

(5.4) KptnCook GmbH provides the KptnCook App in the form and with the features currently available. KptnCook may further develop, modify, add or discontinue features as part of updates to the extent permitted by law.No guarantee is given regarding the availability of the system. Availability may temporarily be restricted in whole or in part, for example with regard to individual features, due to maintenance work or for other reasons (“Limited Availability”). Mandatory statutory rights remain unaffected.

(5.5) KptnCook GmbH is not liable for the completeness, correctness or availability of the data entered or provided by third parties.

If you are a consumer (defined as a natural person entering into a legal transaction for purposes that are predominantly outside your trade, business or profession), you generally have a statutory right of withdrawal when entering into a distance contract. KptnCook GmbH provides the following information regarding this right in accordance with the statutory model.For subscriptions purchased via the Apple App Store or Google Play Store, withdrawal and refund requests are processed in accordance with the procedures and terms of the respective App Store provider. Mandatory statutory rights remain unaffected.For subscriptions purchased via the KptnCook website (“Web Checkout”), you may exercise your statutory right of withdrawal against KptnCook in accordance with the following withdrawal instructions.You can find the model withdrawal form below in this Section 6.

‍by means of a clear statement (e.g. a letter sent by post or an e-mail) of your decision to withdraw from this contract. You may use the attached model withdrawal form, but this is not mandatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

‍Effects of Withdrawal
‍If you withdraw from this contract, we shall reimburse all payments received from you, including the costs of delivery (with the exception of any additional costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and no later than fourteen days from the day on which we receive notification of your withdrawal from this contract.
We will make the reimbursement using the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in any event, you will not incur any fees as a result of the reimbursement.
If you requested that the services begin during the withdrawal period, you shall pay us a reasonable amount corresponding to the proportion of the services already provided up to the point at which you inform us of your exercise of the right of withdrawal, compared with the full scope of the services provided for under the contract.

7. Fee and payment terms, set-off and right of retention

(7.1) Paid subscriptions are offered at the price and for the billing interval displayed to you before you purchase the respective subscription.

(7.2) For subscriptions purchased via the Apple App Store or Google Play Store, payment is processed by the respective App Store provider. The respective payment terms and available payment methods additionally apply.
‍
(7.3) For subscriptions purchased via the KptnCook website, payment is processed by payment service providers used by KptnCook, currently in particular Stripe. The payment methods available in the respective checkout will be displayed to you during the order process. KptnCook GmbH remains your contractual partner for subscriptions purchased via the KptnCook website.

(7.4) The fee is generally due at the beginning of the respective billing period. In the case of a Trial Subscription followed by paid continuation, the first charge will be made after the trial period has ended in accordance with the conditions displayed to you before conclusion of the contract.

(7.5) Section 4.3 additionally applies to promotional prices, discounts and vouchers.

(7.6) You are not entitled to set off claims against claims of KptnCook GmbH unless your counterclaims have been finally determined by a court or are undisputed. You are also entitled to set off claims against KptnCook GmbH if you assert claims arising from defects or counterclaims arising from the same contract. You may exercise a right of retention only if your counterclaim arises from the same contract.

8. Gift Cards

(8.1) Issuer and Use KptnCook Gift Cards are issued by KptnCook GmbH, Mariendorfer Weg 64, 12051 Berlin, Germany, and may be redeemed on kptncook.com/gift for the KptnCook subscription plans stated on the Gift Card (e.g. 12 months Premium or Pro). Redemption is available exclusively via our website and not within the mobile apps. Once redeemed, the corresponding subscription is activated for the stated duration. (8.2) Validity Gift Cards are valid for three (3) years from the end of the calendar year in which they were purchased. After the expiry of this period, redemption is no longer possible. (8.3) No exchange / no cash payment Gift Cards cannot be exchanged for cash, credited to a payment method, or refunded, either before or after redemption, unless required by law. (8.4) Right of withdrawal for buyers Consumers who purchase a gift card online have a statutory right of withdrawal for 14 days from the conclusion of the contract.To exercise the right of withdrawal, a clear statement is sufficient, for example by e-mail to support@kptncook.com.In the event of a valid withdrawal, we will reimburse the purchase price within 14 days, generally using the same means of payment used for the purchase.The statutory model withdrawal form can be found in Section 6 of these Terms & Conditions. (8.5) Loss and misuse Please keep Gift Cards in a safe place. We accept no liability for loss or unauthorised use. (8.6) Data protection When purchasing and redeeming a Gift Card, we process personal data in accordance with our Privacy Policy. The technical service provider Gift Up Ltd (UK) processes data on our behalf as a data processor. (8.7) Applicable law German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers whose habitual residence is within the EU, the mandatory consumer-protection provisions of their country of residence remain unaffected.

9. Term and Termination

(9.1) The free user agreement is entered into for an indefinite period upon first use of the KptnCook App or registration via the KptnCook website. You may terminate the free user agreement at any time. To do so, you can delete your account via the “Settings” menu in our mobile Apps.

(9.2) The paid subscription for Subscription Access initially runs for the term you originally selected (“Initial Term”). You may cancel the subscription no later than 24 hours before the end of the Initial Term unless a different, legally permissible cancellation period was displayed to you before conclusion of the contract.
‍For consumers with their habitual residence in Germany: If the subscription is not cancelled before the end of the Initial Term, it will continue for an indefinite period. During this indefinite term, you may cancel the subscription at any time with a notice period of no more than one month.
If a fee has already been paid to KptnCook in advance for a period extending beyond the effective date of your cancellation, the amount attributable to the unused period will be refunded to you on a pro-rata basis. For subscriptions purchased via the Apple App Store or Google Play Store, refunds are processed using the procedures available through the respective App Store; mandatory statutory rights remain unaffected.
‍For consumers with their habitual residence outside Germany and for non-consumers, unless mandatory statutory provisions provide otherwise:
‍The subscription will renew at the end of the respective subscription term in accordance with the subscription plan previously selected, unless it is cancelled within the cancellation period displayed before conclusion of the contract. KptnCook may nevertheless grant you more favourable cancellation or renewal terms.
For subscriptions purchased via the Apple App Store or Google Play Store, you can cancel the subscription through the subscription management functions of the respective App Store. For subscriptions purchased via the KptnCook website, you can use the cancellation options provided by KptnCook on its website.
Cancellation of Subscription Access becomes effective on the applicable termination date, after which you will be downgraded to the free user agreement (Free Account).
If you wish to delete your account entirely, you can do so via the settings in the iOS or Android Apps. The data stored in your account will be deleted unless statutory retention obligations or other legal grounds prevent deletion.
Deleting your account in the App settings alone does not cancel an existing Subscription Access. Subscription Access must be cancelled separately. In particular, you can use the cancellation options provided for the respective purchase channel.

(9.3) The right to suspend access and terminate the contract for good cause remains unaffected by the preceding provisions. Good cause may exist in particular in the event of a serious or, despite prior warning, continued breach by you of the obligations set out in Section 2.12 and/or if you grant unauthorised third parties access to the KptnCook App.

10. Out-of-court dispute resolution

Pursuant to Section 36 of the German Consumer Dispute Resolution Act (VSBG), KptnCook points out that KptnCook is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

11. Final provisions

(11.1) These Terms & Conditions and the use of the services are governed by German law, excluding its conflict-of-law provisions. If you are a consumer, mandatory consumer protection provisions of the country in which you have your habitual residence remain unaffected to the extent that they are applicable.

(11.2) If you are a merchant within the meaning of the German Commercial Code (HGB), a special fund under public law or a legal entity under public law, Berlin shall be the exclusive place of jurisdiction for all disputes arising from the user agreement and these Terms & Conditions.
